Tongaat Hulett

On 12 October 2026 the Johannesburg Stock Exchange said it would remove Tongaat Hulett, South Africa’s biggest sugar maker, after 74 years on the board. No value is expected for its shareholders. So why do owners who were offered a small slice now expect none?

1The company

Sugar, for southern Africa.

Tongaat Hulett grows, mills and refines sugar in South Africa, and has sugar operations in Botswana, Mozambique and Zimbabwe. It runs South Africa’s only white sugar refinery. About 18,000 of the country’s cane growers have no other mill to sell to, SA Canegrowers says.

3What it delivered

A blue chip, then a hole in the books.

Tongaat Hulett is 134 years old. It joined the Johannesburg exchange in 1952, and it was once among its 40 largest companies.

In 2019 an investigation by the accountants PwC found that its records had overstated profits and asset values, Daily Maverick reports. The company cut the value in its books by about R12 billion.

In July 2022 it failed to publish its annual results, and the exchange suspended its shares. They have not traded since.

On 27 October 2022 the board put the company into voluntary business rescue, a formal rescue under South African law. Rescue practitioners took over the running of it.

4Why it’s on the list

Four years in rescue, and a vote that said no.

The Vision consortium, led by the businessman Robert Gumede, bought about R11.7 billion of Tongaat’s debt from 13 banks. That made it the largest secured creditor.

In January 2024 creditors backed Vision’s plan with 98.5% of the vote. In August 2024 shareholders turned down the share issue it needed. The plan fell back to its second option: selling the businesses to Vision.

In a rescue, the small slice on the table is often the whole cake.

In February 2026 the sale agreements lapsed, and the rescue practitioners asked a court to put Tongaat into provisional liquidation. In June the state’s Industrial Development Corporation brokered a new, binding deal with Vision, and the application was withdrawn.

On 12 October 2026 the JSE said it would remove the shares on 3 November. There is no offer and no payment to shareholders. The rescue continues, and a restructuring, a sale of the running business or a winding-up are the possible ends, the announcement says.

5What it should do now

Three moves before the sale closes.

1

Close the sale, and say when.

Four years is a long time to keep growers, staff and buyers waiting. A firm date would be worth more than a better price.

2

Pay the growers first.

Thousands of cane growers have no other mill. Their trust is the business; without it, the mills grind air.

3

Publish accounts people can audit.

The shares were suspended because the results never came. The new owner should start with books anyone can check.

Take the Small Slice While It Still Exists

Johannesburg, July 2022. For seventy years, shares in Tongaat Hulett, South Africa’s biggest sugar maker, had changed hands on the exchange. Then the annual results did not arrive, and trading stopped. That October the company entered business rescue. In January 2024 its creditors backed a plan that turned their debt into shares, leaving the old owners about 2.7%. In August 2024 the owners voted the share issue down. The plan moved to its second option, a sale of the businesses. On 12 October 2026 the exchange said the shares would be removed, and that no value was expected for shareholders. Two point seven percent looks small until you set it next to nothing. Take the small slice while it still exists.

— Max Noble

Tongaat Hulett’s shareholders turned down a rescue that left them about 2.7%; two years later, the exchange said no value was expected for them.

The same mistake, in your own world. Free, from the book.

In your company
If your company is in talks with its lenders, find out what happens if the owners say no. Put the two outcomes side by side for the board on one page. Do it before the vote, not after.
In your investments
If you own shares in a company in a formal rescue, read the plan’s fallback option and what it leaves shareholders. Check whether the shares are suspended and whether accounts checked by outside auditors exist. A suspension with no results is a warning that your shares may have no price at all.
In your career
If you advise owners in a rescue, show them the fallback in plain numbers, even when they would rather not see it. Do not let pride or anger decide the vote. If a no has already been cast, help them find what can still be saved, and say so early.
