The Morning Warning List · 26 October 2026
Ri Happy
On Sunday 18 October 2026, six days after Brazil’s Children’s Day, the Ri Happy toy chain asked a São Paulo court to back a new deal with its creditors. On 23 October the court gave it a shield. So why did a debt deal from 2023 need another one?
Toys, for Brazil.
Ri Happy sells toys in about 290 shops across Brazil, under the Ri Happy and PBKids names. A paediatrician, Ricardo Sayon, founded it in 1988 with Juanita Sayon and Roberto Saba. In August 2026 BluSun Capital bought the whole group.
A bank deal, then a court deal.
In 2023 Ri Happy rescheduled its bank debt and its owner put in fresh money. Three years later it is asking its creditors again.
- R$289 million of bank debt pushed out to 2027 and 2028, with R$75 million from the owner to stock the shops for Children’s Day and ChristmasDeal with nine banks, Aug 2023Its cash forecasts did not come true, the company says

The BANKRUPT Test · Question 19 of 19
Does your debt plan depend on sales your company has never yet achieved?
This question is about your company, not Ri Happy.
Your answer stays on this screen. The advice opens free when you join the Morning Warning List.
- In your company
- If your company is renegotiating its debt, ask which sales figure the plan assumes. Compare it with last year’s actual sales. If the plan needs more than you have ever sold, ask for a version that works on last year’s numbers before you sign.
- In your investments
- When a company announces a debt deal, read what it assumes about future sales and cash. Check those assumptions against its last two years of results. A deal that needs a record year to work is a warning sign, however far off the new repayment dates look.
- In your career
- If you build the forecast behind a rescue, keep a version on last year’s sales and show it to the board. Do not let hope become the main plan because the deal needs it. If an optimistic plan has already been signed, raise the gap now, while there is still time to fix it.

More shops. Then the forecast missed.
In 2012 the private equity firm Carlyle bought 85% of Ri Happy, which then had 114 shops in 18 states. Later that year Ri Happy bought PB Kids.
In 2018 it filed to sell shares on the stock exchange, with 259 shops. It never listed.
In 2020 the pandemic shut its shops while supermarkets stayed open. “The supermarkets were open and we were closed,” its chief executive said in 2021.
In August 2023 it moved R$289 million of debt with nine banks out to 2027 and 2028. Carlyle put in R$75 million to stock the shops for Children’s Day and Christmas.
Then the money got dearer. Brazil’s central bank rate, the Selic, reached 15% in June 2025, its highest since 2006. Toy sales in Brazil fell 15.5% in 2024, the company says, citing Scanntech.

A shield from the court, and 90 days.
On 18 October 2026 the group filed for recuperação extrajudicial, a deal with its creditors that a court backs. It covers about R$827 million of unsecured debt, owed mainly to banks, suppliers and shopping-mall owners.
Its debt costs about R$70 million a year, which does not fit its business plan, the company says. The 2023 deal rested on cash forecasts that did not come true.
A toy shop earns its year in a few weeks. Its debt does not take the rest off.
On 23 October a São Paulo bankruptcy court authorised the process for six group companies. Lawsuits over the covered debts are frozen for 180 days.
Creditors holding about R$309 million have already signed, more than the one-third needed to start. The group now has 90 days to win a majority of the creditors of each company. The decision can be appealed.
The new owner, BluSun Capital, has brought back Héctor Núñez, chief executive from 2012 to 2020. The company says its shops and website are working normally, with Black Friday and Christmas being prepared.
How Ri Happy reached the court
Three moves before the creditors vote.
Win the vote company by company.
Each of the six companies needs its own majority. The smallest group of creditors can stall the whole deal.
Stock Christmas with cash, not hope.
Buy for the sales the shops made last year, not the year it wanted. Unsold toys are debt with a bow on.
Set the new debt on today’s sales.
The last deal assumed money that never came. This one should work even if Christmas is no better than last year.
Build the Rescue on Sales You Already Have
Brazil, 1988. A paediatrician was left with an empty property. He knew children, so he opened a toy shop there. The first shops lost money. A supplier helped him carry on. By 2026 Ri Happy had about 290 shops. In August 2023 it moved R$289 million of bank debt out to 2027 and 2028. Its owner put in R$75 million to stock up for Children’s Day and Christmas. The deal rested on cash forecasts that did not come true, the company later said. In October 2026 a São Paulo court let it seek a new deal with its creditors. A forecast is a wish wearing a tie. Build the rescue on sales you already have.
