Chilli Beans

On Friday 30 October 2026, Latin America’s largest sunglasses chain filed an out-of-court rescue plan in Brazil, to renegotiate R$340 million of bank debt. Two months earlier it had said there was no talk of a rescue at all. So how does a stand at a São Paulo fair end up in front of a judge with its bankers?

1The company

Sunglasses, from a fair stand to 900 shops.

Chilli Beans sells sunglasses, watches and accessories under its own brand, mostly through about 900 franchise shops in Brazil and in more than a dozen other countries. Caito Maia founded it in 1997. Its operations sit in a holding company, Mustang 25 Participações.

2What it promised

Growth, and no rescue.

In August 2026 a Brazilian business site reported that Chilli Beans was weighing a court-led rescue. The company answered within days.

3What it delivered

Nine hundred shops, and a growing debt.

In 1997 Caito Maia sold sunglasses from a stand at Mercado Mundo Mix, an alternative fair in São Paulo.

He had learned an early lesson: in his first business, selling frames to a few big buyers, some of them stopped paying.

So he sold straight to the customer, under his own name. The kiosk in the shopping mall became his engine.

By 2025, Brazil’s franchise association counted more than 1,200 Chilli Beans outlets.

The debt grew too. Gross debt rose from R$216 million at the end of 2023 to R$290 million in 2024, according to a prospectus whose 2024 figures were not audited.

Maia has said the troubles began with the pandemic, which hit shops directly.

4The turn

Patient lenders, and the paper they never got.

In February 2025 the holding company sold R$100 million of bonds, debentures in Brazil, to investors.

Bonds come with a simple duty: send the audited accounts on time.

The audited 2025 accounts did not arrive. In April 2026 the bonds’ trustee, Vert, called the holders to a meeting to consider calling the debt early.

The holders were patient. Six meetings were held before the default, NeoFeed reports, and they did not call the debt even without the audit.

Six meetings is a lot of patience, even for lenders.

In July and August, installments of R$16.5 million in all went unpaid. The holders moved the date to 25 September. The money did not come.

In late September, Vert declared the bonds due at once.

On 1 October André Dela Togna, a restructuring specialist, joined as co-chief executive to lead the finances.

On 30 October Chilli Beans filed a recuperação extrajudicial, an out-of-court rescue plan agreed with its main lenders that a court is asked to approve.

It covers R$340 million of bank debt. Itaú, Akron and Vega lead up to R$50 million of new money.

Suppliers, staff and franchisees are not part of the plan, the company says, and the shops stay open.

5Your verdict

The lenders waited for a number.

My call: this is a rescue the lenders chose, not one forced on them. They are putting new money in, and the shops, staff and suppliers stay out of it. The test now is simple: whether the audited accounts arrive, and whether the franchise shops keep selling while the bankers renegotiate.

6Your move

Three moves, in the chair.

1

Publish the audited accounts first.

Before any new store or launch, I would put audited figures in front of every lender. A rescue built on numbers nobody has checked is a rescue on credit.

2

Pay the franchisees’ suppliers on the day.

The shops are run by franchisees who chose the brand. I would make sure their stock arrives and their bills are clear, because they are the ones who sell.

3

Slow the openings until the debt falls.

New stores abroad cost money now and pay later. I would open only those that pay back within a year until the plan is approved.

Deliver the Audit Before the Lender Asks

São Paulo, 1997. Caito Maia sells sunglasses from a stand at an alternative fair. He has already learned that big buyers do not always pay. The stand becomes Chilli Beans, with about 900 franchise shops. In February 2025 its holding company sold R$100 million of bonds. Then the paperwork stopped. By April 2026 the audited 2025 accounts had not arrived, and the bondholders were called to a meeting. Six meetings is a lot of patience, even for lenders. Installments went unpaid, and in September the bonds were called due. On 30 October 2026 the chain filed an out-of-court rescue plan. A missing number starts the meetings. A missed payment ends them. Deliver the audit before the lender asks.

— Max Noble

Chilli Beans’ bondholders waited for audited accounts that did not arrive; the waiting ended in a rescue plan.

Deliver the Audit Before the Lender Asks

The same mistake, in your own world. Free, from the book.

In your company
The sign: the audited accounts are late, and lenders start asking for meetings. The check: compare the date your bonds or loans require with the date your auditor can sign. The move: send lenders the new date this week, in writing.
In your investments
The sign: a company with listed bonds whose audited accounts are overdue. The check: read the notices from the trustee, who acts for bondholders and holder meetings, not only the company’s statements. The move: ask what the bond terms allow lenders to do if the audit stays missing.
In your career
The sign: you own the numbers, and the audit date has slipped twice. The check: write down what the lenders were promised and when. The move: tell your board and your lenders first. If they found out before you told them, set a new date and send every report on time after it.
